How to Register a Foreign Company’s Representation and Set Up a Joint Venture in Ukraine

1. According to the Chapter 5 of the Law of Ukraine “On the foreign economic activity”, in order to register a representation office of a foreign company on the territory of Ukraine, it is necessary to provide the Ministry of Foreign Economic Relations and Trade of Ukraine with the following documentation:
  • an application for registration of a representation office drawn up in free format;
  • an excerpt from the trade/banking roll of the country where the foreign company is officially incorporated (articles of incorporation, registration under Business Names Act, etc.);
  • a bank statement (certificate) where the applicant’s account is officially registered;
  • a power of attorney to carry out representative functions prepared according to the laws of the country where the foreign company is officially incorporated.
  • The aforementioned documents should be submitted in two languages (English and Ukrainian), notarized in compliance with the procedure in the country of issue and then properly legalized in Ukrainian consular office.
The registration fee for a representation office is US$ 2,500 (Must be paid in Ukraine). 2. Joint Venture The procedure for establishing a joint venture depends upon the form of Joint Venture (Joint Stock Company, Limited Liability Company, etc.). Regardless the form of Joint Venture, the following documents should be submitted to the appropriate authorities in Ukraine:
  • an application to the Head of the Department of Foreign Economic Relations within a regional (city or district) office of the State Administration;
  • statutory documents (statute and statutory agreement);
  • certificate of legal address of the Joint Venture;
  • a bank statement where the applicant’s account is officially registered;
  • a power of attorney to carry out representative functions prepared according to the laws of the country where the foreign company is officially incorporated.
The aforementioned documents should be submitted in two languages (English and Ukrainian), notarized in compliance with the procedure in the country of issue and then properly legalized in Ukrainian consular office. The fee for JV’s registration depends upon the type of Joint Venture and should be paid in Ukrainian currency. The authorized capital (statutory fund) of JV is a subject for minimum size requirements, which differ depending upon the type of JV.
3. Procedure for Legalization of Documents in the Consular Office of the Embassy of Ukraine in your country.
First the documents in two languages (English and Ukrainian) should be notarized by a Notary Public, then the documents should be authorized by the Ministry of Foreign Affairs of your country. Then the documents should be legalized by the Consular Office of the Embassy of Ukraine in your country. The procedure takes ~5 business days.
